Allway HPC – Server Hardware & Solutions
1. Definitions
OEM: Original Equipment Manufacturer of server hardware.
Customer: Entity purchasing products.
Products: Server hardware and components.
Agreement: These Terms along with orders/invoices.
2. Acceptance of Terms
By placing an order or using products, the Customer agrees to these Terms. Conflicting terms shall not apply unless accepted in writing by OEM.
3. Ordering and Pricing
- Orders require OEM confirmation
- Prices exclude GST and taxes
- Valid for 30 days unless changed
4. Payment Terms
- 50% advance, 50% on delivery
- Late payment interest @18% p.a.
5. Delivery and Risk
- Delivery timelines are estimates
- Risk passes on dispatch
- No liability for force majeure delays
6. Warranty
- 36 months warranty
- Excludes misuse, power issues
- Support remote/on-site
7. Returns and Replacement
- RMA required
- Repair/replace within reasonable time
- No returns after 7 days (unless warranty)
8. Intellectual Property
OEM retains all rights. Reverse engineering prohibited.
9. Regulatory Compliance
Complies with BIS, E-Waste, RoHS. Customer must follow Indian laws.
10. Data Privacy and Security
OEM does not access data unless authorized. Customer responsible for DPDP compliance.
11. Limitation of Liability
Liability limited to product cost. No indirect damages.
12. Indemnity
Customer indemnifies OEM against misuse claims.
13. Governing Law
Governed by Indian law. Jurisdiction: Chennai.
14. Amendments
OEM may update terms anytime.
15. Dispute Resolution
Disputes resolved via arbitration under Indian law.
